We work with our clients in the preparation, negotiation and interpretation of a full range of commercial and business contracts.

We are experienced in leasing and other real estate related matters such as the purchase and sale of commercial properties (see our Commercial Real Estate Practice Group for additional detail).

We assist in intellectual property matters including trademarks, copyrights and licensing.

We are well acquainted with all aspects of institutional and private lending and loan documentation. In challenging business or economic times, we assist our clients with loan modifications and work-outs, deeds-in-lieu of foreclosure and other alternative loan resolution strategies.

We provide advice and assistance with corporate governance issues such as director and shareholder meetings, minutes and resolutions as well as guidance and advice on matters involving fiduciary duties and majority/minority ownership relations.

When necessary, our Commercial Litigation group can assist with litigation matters including the prosecution or defense of damage claims, fiduciary duty claims, collections, equity matters and injunctions.
